Article 1 — Purpose
These Terms and Conditions apply to all online visibility services provided by Eddie Miller Agency to any professional client (hereinafter "the Client").
Article 2 — Services
Services include:
- Online visibility diagnostic (free or paid depending on the quote)
- Optimization to help your clients find you: content writing, professional listing updates, directory submissions
- Monthly follow-up as part of the subscription
The exact scope of each service is detailed in the quote or commercial proposal accepted by the Client.
Article 3 — Pricing and Payment
Prices are those indicated in the quote sent to the Client. They are expressed in euros. VAT not applicable — article 293 B of the French General Tax Code (CGI).
Payment terms:
- Full payment upon order, before services begin
- Bank transfer or online payment via Stripe
- No work begins until payment is received
For monthly subscriptions: payment at the beginning of each month, automatically renewed.
Article 4 — Delivery Timelines
- Free diagnostic: delivered within 24 business hours
- Essentiel: delivered within 5 business days
- Complet: delivered within 10 business days
- Premium: starts within 5 business days, follow-up over 90 days
These timelines are indicative and may be adjusted by mutual agreement.
Article 5 — Client Obligations
To ensure proper delivery of services, the Client agrees to:
- Provide the information requested in the onboarding questionnaire within 5 business days of placing the order
- Grant access to the required platforms (Google Business, website) if needed
- Publish deliverables according to the provided instructions within the recommended timelines
Any delay on the Client's part will extend the delivery timelines accordingly.
Article 6 — Best-Efforts Obligation
Eddie Miller Agency commits to a best-efforts obligation, not a guarantee of results. Rankings on Google and AI assistants depend on third-party algorithms that are independent of any external intervention. The before/after visibility score serves as the objective indicator of the work performed.
Article 7 — Cancellation and Termination
B2B services are not subject to the consumer cooling-off period.
- Cancellation before work begins: full refund
- Cancellation after work has begun: invoiced pro rata for work completed
For subscriptions: cancellation is possible at any time with 30 days' notice. The current month remains due.
Article 8 — Confidentiality
Eddie Miller Agency undertakes not to disclose any confidential information about the Client to third parties. Case studies used in marketing materials are systematically anonymized unless the Client has given explicit consent.
Article 9 — Intellectual Property
Deliverables (texts, FAQs, descriptions, reports) produced as part of the services are transferred to the Client for use on their own platforms. They may not be resold or shared with third parties without prior agreement.
Article 10 — Applicable Law
These Terms and Conditions are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution before initiating any legal proceedings.
